Special Information for Corporate Clients for the year 2024
If you ever set up a corporation, LLC, or other entity filed with the State in past years, and it is still active, you really need to be aware of a new law which started becoming effective at the beginning of this year: the "Corporate Transparency Act" created a national database of ownership and control of companies set up in the United States. Pretty much every small company created before 2024 (other than large, publically held companies and some other exceptions) has to filea beneficial ownership information report with FinCEN (the "Financial Crimes Enforcement Network") THIS YEAR.

See https://www.fincen.gov/boi for more information, exceptions, instructions on how to file, and the required form. (For what it is worth, it is really not that difficult to do.) If you do not file that report by the end of this year, you will be subject to major civil and criminal penalties, so you really need to get that done. Let me know if I can help.

NOTE: this reporting requirement was enjoined nationwide by the Eastern District of Texas court on December 3, 2024, so whether you do it or not at this point is up to you. We will have to wait to see how the Fifth Circuit of Appeals, and ultimately the U.S. Supreme Court, rules on the law to see if it will still be necessary.
